SeoSense Terms of Service (this “Agreement”)

This Agreement governs your engagement with SeoSense, a trademark of Webseller OÜ (“SeoSense”), for the provision of SEO content services. SeoSense and the Client may be referred to collectively as the “Parties” or individually as a “Party”.

1. AGREEMENT TO TERMS AND CONDITIONS

This Agreement is effective, and you agree to be bound by it as of the date you (a) confirm the offer by email or other means, (b) acknowledge the Order Confirmation, or (c) first use or access the Services provided by SeoSense, whichever is earlier (“Effective Date”). If you accept this Agreement on behalf of a company or other entity, you represent and warrant that you have the authority to bind that entity to the terms and conditions of this Agreement.

2. DEFINITIONS

• “Services” refers to the SEO content creation, optimization, and delivery services provided by SeoSense, including but not limited to the creation and deployment of content based on selected keywords.

• “Client” refers to the company or entity ordering services from SeoSense.

• “Order Confirmation” means the mutually agreed-upon document, email, or other communication confirming the details of the Services to be provided, including the scope, pricing, and guarantees.

• “Content Delivery” refers to the method of delivering SEO content to the Client’s website, which may include API, plugins, CSV, XML, or other formats.

• “Results Measurement” refers to the process of tracking and analyzing the impact of the delivered content on the Client’s organic traffic, as defined in the Agreement.

3. SERVICES; ACCESS AND USE

Provision of Services: During the term of this Agreement, SeoSense will create and deliver SEO-optimized content based on keywords selected by SeoSense or agreed upon with the Client. The content will be delivered to the Client’s website using agreed-upon methods, such as API integration, plugins, or other specified formats.

Use Restrictions: The Client shall use the delivered content solely for its intended purpose and in accordance with this Agreement. The Client shall not attempt to reverse engineer, resell, or repurpose the content for uses outside the agreed scope.

4. FEES AND PAYMENT; PRICING AND GUARANTEE

Fees: The Client agrees to pay the fees outlined in the Order Confirmation. SeoSense will invoice 30-50% of the total order value upon confirmation of the order. The remaining 50-70% will be invoiced once SeoSense delivers the promised results as measured by the agreed-upon tools, typically within three months.

Guarantee: SeoSense guarantees that the delivered content will achieve the specified increase in organic traffic within the time frame outlined in the Order Confirmation. If the results do not meet the promised levels, the Client is not liable for the remaining 50-70% of the service fee. If the results are less than 50% of the promised level, SeoSense will refund the initial 30-50% payment.

5. ORGANIC TRAFFIC COUNTING AND THIRD-PARTY TOOLS

Traffic Measurement: SeoSense will use Ahrefs or another agreed-upon third-party tool to measure the Client’s organic traffic. The baseline (entry-level) traffic will be established one day prior to the content being deployed to the Client’s website. If deployment is delayed by more than five (5) days, a new baseline will be measured.

Exclusion of Brand-Related Traffic: When establishing the baseline and measuring the results, SeoSense will exclude traffic generated from brand-related search terms. This ensures that the traffic growth attributed to SeoSense’s services is focused on non-branded organic search terms, providing a clearer picture of the impact of the SEO efforts.

Results Monitoring: SeoSense will monitor the traffic weekly and will provide regular updates to the Client. The Client will be informed when the promised results are achieved. All traffic data, including the details of brand-related search term exclusions, will be shared with the Client via Google Sheets, CSV, Excel, or another agreed-upon format.

6. CONFIDENTIAL INFORMATION AND DATA PRIVACY

Confidentiality: Both Parties agree to maintain the confidentiality of any sensitive information exchanged in connection with this Agreement. Confidential Information does not include information that is publicly known or was rightfully acquired from a third party without breach of any obligation of confidentiality.

Data Privacy: SeoSense will comply with the General Data Protection Regulation (GDPR) and other applicable data protection laws regarding the processing of any personal data that may be shared by the Client. SeoSense will process such data solely for the purposes of providing the Services, and the Client retains full ownership and control over their data. SeoSense will implement appropriate technical and organizational measures to ensure a level of security appropriate to the risk. In case of any data breach affecting Client data, SeoSense will notify the Client without undue delay.

7. INTELLECTUAL PROPERTY RIGHTS

Client Materials: The Client retains ownership of all materials provided to SeoSense for use in content creation. SeoSense retains ownership of the methodologies and processes used to create the content.

8. GOVERNING LAW AND JURISDICTION

This Agreement will be governed by and construed in accordance with the laws of Estonia. Any disputes arising from this Agreement shall be resolved in the courts of Harjumaa, Estonia. The Parties agree to the exclusive jurisdiction of these courts.

9. CHANGES TO THE SERVICES AND THIS AGREEMENT

Modifications: SeoSense reserves the right to modify the Services as necessary. Any substantial changes to the terms of this Agreement will be communicated to the Client and will take effect at the next renewal of the Agreement unless otherwise specified.
